A company Secretary plays a vital role of linking company to Board of Directors, government, shareholders and regulatory authorities. The CS is responsible for ensuring that finance, legal matters and procedures of board are followed strictly according to the rules and policies devised. CS also looks into matter regarding exercise law, labour laws, and corporate laws, tax etc.
Institute of Company Secretaries of India (ICSI) provides CS course. This course has three levels foundation level, intermediate and final level. For taking admission into foundation level course one has to clear 10+2 and this course is of 8 months duration. For taking admission into intermediate level course one has to be a graduate, postgraduate or those who have cleared final exam from ICWAI or ICAI or any other recognized accountancy institute. And once you clear intermediate course you become eligible for final level course.
According to company act 1956, any company having share capital of Rs.2 Crores or above has to appoint full time Company Secretary or even those companies who have less than 2 Crores paid shares appoint CS so there are plethora of good opportunities in many companies for CS in India as well as abroad.
After a candidate has passed intermediate or final examination he/she has to undergo training which is of three months duration. The training can be with Registrar of Companies (ROC), Stock Exchange, financial or banking institution for 15 days. After candidate has cleared final examination and completed training then he can take up a program called Secretarial Modular Training Program (SMTP) which is for 15 days duration.
